Terms of Use — WingMan AI

These Terms of Use ("Terms") govern your access to and use of WingMan AI (the "Service"), operated by CentWise Edge Ltd. ("WingMan," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

WingMan AI is an AI-powered assistant that helps businesses automate non-core tasks, including but not limited to email management, business lead generation, research, and related activities. The Service uses artificial intelligence models and third-party providers to perform these tasks.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you are using the Service for legitimate business purposes.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.

4. Connected Accounts

The Service allows you to connect third-party accounts, such as Gmail and Telegram, so that the assistant can act on your behalf.

  • You represent that you are authorized to connect any account you link and to grant the Service access to it.
  • You authorize the Service to access, read, and take actions within those connected accounts as directed by your instructions.
  • You are responsible for the instructions you give and the actions the assistant takes as a result.
  • You may disconnect a connected account at any time.

5. Lead Generation — Your Responsibilities (Important)

The Service includes a feature that retrieves information about third-party business contacts ("Leads") from third-party data sources. This feature is powerful and carries legal responsibility. By using it, you acknowledge and agree to the following:

5.1 You control how Leads are used

Leads consist of personal data relating to individuals who are not parties to these Terms and who have not provided their information to you through the Service. You are solely and fully responsible for your collection, storage, handling, and use of Leads.

5.2 Legal compliance is your obligation

You are solely responsible for ensuring that your use of Leads complies with all applicable laws and regulations, including without limitation:

  • Data-protection and privacy laws (such as the GDPR, the UK GDPR, the CCPA/CPRA, Kenya's Data Protection Act, and any other laws applicable to you or to the individuals whose data you obtain);
  • Anti-spam and electronic-communications laws (such as the CAN-SPAM Act, CASL, the ePrivacy Directive, and similar laws) governing any outreach, marketing, or messaging you conduct;
  • Any applicable rules or terms of the platforms from which contact information originates.

5.3 Lawful basis and consent

You are responsible for determining and maintaining any lawful basis required to process the personal data contained in Leads and for honoring any rights that data subjects may have, including requests for access or deletion.

5.4 Prohibited uses

You must not use Leads for unlawful, deceptive, harassing, or abusive purposes, or in any manner that violates the rights of the individuals concerned.

5.5 Indemnification for Lead use

You agree to indemnify, defend, and hold harmless CentWise Edge Ltd. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, penalties, and expenses (including reasonable legal fees) arising out of or related to your use of Leads or your outreach activities, including any claim that your use violated applicable law or the rights of any third party.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property, privacy, or other rights of any third party;
  • Transmit malware, or attempt to gain unauthorized access to any system or account;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to generate or distribute spam, unlawful, harmful, fraudulent, or deceptive content;
  • Reverse engineer, resell, or exploit the Service except as expressly permitted.

We reserve the right to suspend or terminate accounts that violate these Terms.

7. AI-Generated Output — No Warranty of Accuracy (Important)

The Service relies on artificial intelligence models to interpret your instructions and produce results. AI systems can make mistakes. Output may be inaccurate, incomplete, or unsuitable for your purposes, and the assistant may occasionally take actions that differ from your intent.

  • You are responsible for reviewing and verifying any output or action before relying on it.
  • The Service is a tool to assist you; it is not a substitute for your own judgment, and it does not provide legal, financial, accounting, tax, medical, or other professional advice.
  • You should not rely on the Service for decisions requiring professional expertise without independent verification.

You use AI-generated output and any automated actions at your own risk.

8. Autonomous Actions

The Service may perform tasks autonomously on your behalf based on your instructions, including sending messages or interacting with your connected accounts. You acknowledge that you authorize these actions and that you are responsible for their consequences. We recommend you review and monitor the tasks you assign.

9. Payment and Subscriptions

  • Certain features require a paid subscription. Fees, billing cycles, and any trial terms will be presented to you at the point of purchase.
  • Payments are processed by Paystack. By subscribing, you authorize us and Paystack to charge your chosen payment method.
  • Unless stated otherwise, fees are non-refundable except where required by law.
  • We may change our pricing; changes will apply to future billing periods, and we will provide notice as required.

10. Third-Party Services

The Service integrates with and depends on third-party providers (including Apify, AI model providers, Supabase, Hostinger, Paystack, and Google). Your use of those integrations may also be subject to the third parties' own terms. We are not responsible for the acts, omissions, availability, or content of third-party services.

11. Intellectual Property

The Service, including its software, design, and content (excluding your data and content), is owned by CentWise Edge Ltd. and its licensors and is protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the content and data you provide.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTWISE EDGE LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless CentWise Edge Ltd. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your use of Leads and any outreach activities (as further described in Section 5).

15. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to the Service, other users, or third parties. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination (including Sections 5, 7, 11–14) will survive.

16. Changes to the Service and Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time. When we do, we will revise the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Kenya, unless otherwise required by applicable law.

18. General

  • If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and CentWise Edge Ltd. regarding the Service.
  • Our failure to enforce any provision is not a waiver of that provision.
  • You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
